Educator Partnership & Content License Agreement

This Educator Partnership & Content License Agreement (“Agreement”) governs the relationship between Eduminta, a digital education platform owned and operated by Whiz Global Solutions, and any educator, trainer, instructor, mentor, expert, coach, consultant, or content contributor (“Educator”) who submits educational content to the platform.
By submitting any content, materials, recordings, or educational resources to Eduminta, the Educator acknowledges that they have read, understood, and agreed to be legally bound by this Agreement.
1. Content Submission
Educators may submit educational materials including but not limited to:
- Video lectures
- Educational recordings
- Course modules
- Notes and study materials
- PDFs and documents
- Assignments
- Presentations
- Assessments
- Worksheets
- Supplementary resources
The Educator represents and warrants that:
- All submitted content is original or properly licensed.
- The Educator possesses all necessary rights and permissions.
- The content does not infringe any copyright, trademark, privacy, publicity, or intellectual property rights.
- The content complies with applicable laws and regulations.
2. Course Development & Publishing Process
Educators do not directly upload courses to the platform.
The course publication process may include:
- Educator records educational content.
- Content is submitted to Eduminta.
- Eduminta reviews the content.
- Eduminta may organize, edit, enhance, structure, convert, optimize, or reformat content.
- Eduminta publishes and distributes the course through its platform and associated channels.
Eduminta reserves absolute discretion regarding:
- Acceptance or rejection of content.
- Course organization and structure.
- Course titles and descriptions.
- Promotional materials.
- Platform placement.
- Publication schedules.
Submission of content does not guarantee publication.
3. Revenue Sharing & Compensation
Educators may be eligible to receive compensation, royalties, incentives, honorariums, revenue share, or other payments for educational content published on the Eduminta platform.
The amount, method, frequency, eligibility criteria, and calculation of any compensation shall be determined solely by Eduminta and may be communicated separately through educator onboarding documents, partnership arrangements, written communications, platform notices, or independent agreements.
Compensation calculations may take into consideration:
- Applicable taxes
- GST and statutory deductions
- Refunds and chargebacks
- Payment gateway fees
- Banking charges
- Discounts and promotions
- Marketing expenses
- Operational costs
- Platform management expenses
- Administrative expenses
- Compliance-related costs
Eduminta reserves the unrestricted right to modify, revise, suspend, discontinue, or update any compensation structure at any time.
Nothing in this Agreement guarantees:
- Minimum income
- Revenue
- Earnings
- Sales
- Student enrollments
- Course purchases
- Financial returns
Any compensation determination made by Eduminta shall be final and binding.
4. Grant of Exclusive License
By submitting content to Eduminta, the Educator grants Eduminta an:
Irrevocable, perpetual, worldwide, exclusive, transferable, sublicensable, royalty-bearing license
to:
- Host
- Store
- Archive
- Publish
- Display
- Stream
- Reproduce
- Edit
- Modify
- Enhance
- Convert
- Translate
- Adapt
- Distribute
- Market
- Promote
- Advertise
- Sell
- License
- Monetize
the submitted content in any format, medium, technology, or platform now known or later developed.
5. Ownership of Submitted Materials
The Educator acknowledges and agrees that:
- Eduminta may permanently retain submitted materials.
- Backup copies may be maintained indefinitely.
- Platform versions of the content shall remain under Eduminta’s control.
- Eduminta may create edited, optimized, converted, translated, or modified versions of the content.
- Such versions may continue to be used and monetized by Eduminta.
6. Content Removal & Withdrawal Restrictions
Once content has been submitted and accepted by Eduminta:
- The Educator shall not have the right to demand removal.
- The Educator shall not have the right to revoke granted licenses.
- The Educator shall not require deletion of submitted materials.
- The Educator shall not interfere with ongoing publication, distribution, promotion, or monetization activities.
The rights granted to Eduminta shall survive regardless of whether the Educator:
- Deregisters from the platform.
- Terminates participation.
- Ceases communication.
- Closes accounts.
- Withdraws cooperation.
The license granted under this Agreement shall remain valid permanently unless prohibited by applicable law.
7. Intellectual Property Warranty
The Educator represents and warrants that:
- Submitted content is lawful.
- Content is original or properly licensed.
- No third-party permissions are missing.
- Content does not violate intellectual property rights.
- Content does not contain unlawful, defamatory, fraudulent, misleading, obscene, or prohibited materials.
The Educator shall be solely responsible for any violations.
8. Indemnification
The Educator agrees to indemnify, defend, and hold harmless:
- Eduminta
- Whiz Global Solutions
- Its owners
- Employees
- Representatives
- Affiliates
- Contractors
- Service providers
from and against any claims, actions, damages, liabilities, losses, penalties, expenses, settlements, or legal fees arising from:
- Submitted content
- Intellectual property disputes
- Copyright claims
- Regulatory violations
- Misrepresentations
- Breach of this Agreement
9. Confidentiality
Any confidential information shared between the parties shall remain confidential unless disclosure is required by law.
Eduminta reserves the right to maintain internal records, performance data, compensation records, and business information as confidential.
10. Platform Rights
Eduminta reserves the unrestricted right to:
- Promote courses.
- Bundle courses.
- Discount courses.
- Include content in subscriptions.
- Create educational packages.
- Use excerpts for marketing.
- Display previews and demonstrations.
- Use educator names, photographs, biographies, and credentials for promotional purposes.
11. Termination
Eduminta may suspend, restrict, or terminate educator participation at any time without prior notice.
Termination shall not affect:
- Existing licenses.
- Previously granted rights.
- Stored content.
- Published courses.
- Ongoing monetization rights.
All rights granted to Eduminta shall continue after termination.
12. Limitation of Liability
To the fullest extent permitted by law, Eduminta and Whiz Global Solutions shall not be liable for:
- Lost profits
- Revenue loss
- Business interruption
- Reputation damage
- Opportunity loss
- Indirect damages
- Consequential damages
- Special damages
Educators participate entirely at their own business risk.
13. No Employment Relationship
Nothing in this Agreement shall create:
- Employment
- Partnership
- Joint venture
- Agency relationship
between Eduminta and the Educator.
The Educator acts as an independent content contributor.
14. Entire Agreement
This Agreement constitutes the complete and exclusive understanding regarding educator participation and content licensing.
Any previous discussions, representations, understandings, or communications are superseded by this Agreement.
15. Governing Law & Exclusive Jurisdiction
This Agreement shall be governed by and interpreted in accordance with the laws of India.
Any dispute, controversy, or claim arising out of or relating to this Agreement shall be subject exclusively to the jurisdiction of the competent courts located in Jaipur, Rajasthan, India.
The parties expressly waive the jurisdiction of all other courts.
